A PROPOSED CHANGE TO THE CHARITY STATUS OF GUILDEN SUTTON COMMUNITY ASSOCIATION
As a result of a unanimous public vote in November 2022, it was agreed to proceed with the conversion of the Guilden Sutton Community Association to a Charitable Incorporated Organisation (CIO). The new CIO will become a legal entity on 1 June 2023. See the new constitution below.
Why a change in the Constitution was necessary
A Charitable Incorporated Organisation (CIO) is a legal entity and can enter into contracts in its own right. The old unincorporated charity structure meant that Trustees were personally liable for any debts, property or transactions on behalf of the charity. A CIO may also hold property and contracts in its own name, rather than in the name of a Trustee, which has advantages with regard to succession of the charity.
